Manufacturing & Service
These Terms of Service govern your access to and use of NexelPrint's custom manufacturing facilities, Print-on-Demand dropshipping services, web dashboard, and developer REST APIs.
Merchant Accounts & Commercial Eligibility
By registering an account, topping up a wallet balance, or submitting an order via web or API, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into binding B2B manufacturing contracts under the Indian Contract Act, 1872.
You are responsible for maintaining the confidentiality of your account credentials, API keys (`sk_live_...` / `sk_test_...`), and webhook secret tokens. Any order submitted using your credentials shall be deemed authorized and non-revocable.
Intellectual Property, Copyright & Content Indemnity
NexelPrint acts strictly as a contract printing facility. We do not verify, claim ownership of, or actively endorse the graphic designs, trademarks, slogans, or artwork submitted by clients.
You explicitly warrant that you own or hold valid commercial licenses for all artwork, logos, graphics, and typography uploaded to our platform. You agree to fully indemnify, defend, and hold harmless NexelPrint, its directors, and manufacturing staff against any third-party copyright, trademark infringement, or counterfeit merchandise claims arising from orders placed by you.
NexelPrint reserves the right to immediately refuse, cancel, or report orders containing illegal content, hate speech, defamatory material, or unauthorized state/military emblems.
Limitation of Liability & Courier Disclaimer
To the maximum extent permitted under applicable law, NexelPrint's total aggregate financial liability for any claim arising out of or related to any order, manufacturing defect, or platform outage shall be strictly limited to the net production fee actually received by NexelPrint for that specific defective line item.
In no event shall NexelPrint be liable for indirect, incidental, punitive, or consequential damages (including lost customer profits, business reputation loss, or advertising expenses).
As outlined in our No Refund & Logistics Liability Policy, NexelPrint is strictly not liable for goods stolen, delayed, or damaged by third-party courier services after factory dispatch.
Governing Law & Exclusive Legal Jurisdiction
These Terms of Service and all related manufacturing agreements shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India.
Any dispute, claim, or controversy arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Surat / Mumbai, India.
